Terms of Service
Effective 2026-10-14 · HH-WEB-2026-10-A
1. Operator and service
HerdHaul is operated by HerdHaul LLC, an Arizona limited liability company. It provides livestock dispatch software, driver assignment and delivery workflows, BOL document handling, and office accounting tools.
HerdHaul provides software; it does not transport or broker livestock, arrange insurance, execute payments or payroll, or provide legal, tax or accounting advice. Your company is responsible for its transportation activities, safety decisions, records and regulatory obligations.
Contact: support@herdhaul.com. Business mailing address: HerdHaul LLC, 21168 East Ocotillo Rd #1093, Queen Creek, AZ 85142.
2. Company authority and users
A company may enroll only through a company owner whose identity and authority HerdHaul verifies. That owner must accept these Terms for the company before customer service is activated. Access to this public notice alone does not enroll a company or establish acceptance. Your company manages its invited users and roles and is responsible for their authorized use and the accuracy of information entered on its behalf. Protect account credentials and report suspected unauthorized access to support.
Company-wide cancellation, export, closure and deletion require verification of the company owner's identity and authority. Other users acknowledge the rules applicable to their use; they do not accept the company agreement.
3. Records, private links and permitted use
Your company retains its rights in information and documents it supplies. You authorize HerdHaul and its service providers to process that information as needed to provide the service and carry out your authorized instructions. You must have the right to supply the information and share it with the recipients you select.
Driver assignment links can provide limited access to assignment details and delivery submission without a separate login. Customer document links can provide access to selected BOLs. Send private links only to intended recipients and report misdirected links promptly. Do not treat possession of a private link as office or company-owner authority.
Do not misuse another company's information, upload unlawful content, bypass access controls, disclose credentials, or interfere with the service.
4. Delivery information and paperwork
Review delivery information and BOLs before relying on them for billing. An interrupted submission may leave pending information on the submitting device. Keep that information and browser storage intact until HerdHaul confirms receipt; follow support instructions when an outcome is uncertain. Closing a browser does not guarantee background delivery.
Your company remains responsible for checking whether required delivery information and paperwork were actually received. Do not submit another copy merely because an outcome is uncertain.
5. QuickBooks and hauler pay
QuickBooks functionality is available only when enabled for your company in the applicable environment. A sandbox connection is for testing and does not connect to your live books. For an approved company connection, authorized office staff reviews customer charges, chooses combined same-customer invoices or one invoice per load, and transfers selected invoice information and BOL documents to QuickBooks Online.
HerdHaul creates invoices without sending them. Staff must review the invoice and recipient in QuickBooks, select Attach to email for each required BOL and explicitly send there. A synced invoice or uploaded document does not establish that a customer received an email or paid.
Disconnecting stops further syncing through HerdHaul but does not delete invoices or documents already in QuickBooks. Intuit's terms and privacy practices govern its services.
Hauler payment records are separate from customer invoice/payment records. HerdHaul does not create QuickBooks vendor bills, execute payments or process payroll under this release.
6. Prelaunch access and future paid service
HerdHaul is preparing an invite-only release. Paid subscriptions and general customer QuickBooks production access are not activated by this notice. Existing separately accepted company agreements remain unchanged. No fee, automatic paid conversion or charge is authorized merely by visiting this website or participating in a free test.
Before paid enrollment, the company owner will receive and accept the applicable price, billing period, usage terms, cancellation/refund rules, and access/export/retention arrangements. HerdHaul will activate paid service only after the associated operating controls are ready. Published plan descriptions do not replace an existing agreement or introduce retroactive charges.
Contact support@herdhaul.com to stop participating in prelaunch testing or request information about records. An individual user's request does not authorize closure or deletion of another person's company records.
7. Support, suspension and closure
Email support is available at support@herdhaul.com without guaranteed 24/7 service, response time or resolution time. Include a load number or support reference where relevant; do not send passwords, connection credentials, private bearer links or BOL files through ordinary support email.
For routine suspension or termination, HerdHaul will give advance notice when reasonably possible. Immediate protective action may be taken for urgent security threats or serious misuse.
Company closure/deletion requires verification of the company owner's identity and authority. Before carrying out a closure, HerdHaul and the verified owner will document the effective date, export arrangements and applicable retention exceptions. Requests remain subject to applicable legal rights. Existing agreed export rights remain unchanged. No request authorizes deletion of another company's information.
8. Record retention
During prelaunch, operational records and BOLs are retained to provide and evaluate the service; there is currently no automatic deletion based solely on their age. This is not a promise of permanent storage or unlimited recovery. Contact support for access, export or deletion requests. Retention of logs, credentials, support correspondence and backups follows the purposes and exceptions described in the Privacy Notice. Future paid-service retention commitments will be supplied before paid enrollment and do not replace an existing accepted agreement.
9. Service availability and warranties
To the extent permitted by applicable law, HerdHaul is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose or noninfringement. We do not guarantee uninterrupted or error-free service, complete recovery of every record, or that using HerdHaul alone satisfies transportation, accounting or other legal requirements. These provisions do not remove our express commitments in this agreement or rights and remedies that cannot legally be excluded. Maintain copies of records needed for your business and review accounting transfers before relying on them.
10. Allocation of liability
To the extent permitted by applicable law, neither party is liable to the other under this agreement for indirect, special, incidental, consequential or punitive damages, including lost profits, resulting from use of or inability to use the service. Except for the exclusions below, each party's aggregate liability arising from this agreement is limited to the greater of $100 or the fees paid or payable by your company to HerdHaul for the 12 months immediately before the event giving rise to the claim.
These limits do not apply to fraud, willful misconduct, gross negligence, a party's breach of its confidentiality or data-protection obligations, or liability that applicable law prohibits limiting. The cap does not excuse payment of properly disclosed fees for service actually supplied. Nothing in this section limits the company's ownership of its data, its agreed export rights or either party's obligation to stop unauthorized use of the other's information.
11. Third-party claims
Each party remains responsible for third-party claims to the extent caused by its own unlawful conduct, willful misconduct or infringement of another person's rights. This agreement does not impose an automatic duty on either party to defend or indemnify the other. Any separate indemnity must be stated expressly in a written agreement accepted by both parties.
12. Confidentiality
Each party will use the other's nonpublic business information only to perform this agreement, exercise its rights or comply with law, and will use reasonable care to protect it. Disclosure is permitted to personnel and service providers who need the information for those purposes and are subject to appropriate confidentiality obligations. This does not restrict information lawfully known without restriction, independently developed, publicly available without breach, or lawfully received from another source. If legally compelled disclosure is required, the receiving party will give notice when legally permitted and limit disclosure to what is required. Personal information is also governed by the Privacy Notice and applicable law.
13. Governing law and disputes
Arizona law governs this agreement, excluding its conflict-of-law rules, subject to any mandatory law that applies. The parties consent to the state and federal courts located in Arizona that have jurisdiction over a dispute. Before filing an ordinary contract claim, please send a description and proposed resolution to support@herdhaul.com; HerdHaul will use the company's account contact for its notice. The parties will attempt in good faith to resolve the issue for 30 days. This process does not prevent urgent protective relief, a timely filing needed to preserve a claim, or exercise of nonwaivable rights. This agreement does not require arbitration or waive participation in a class action.
14. Notices, changes and agreement hierarchy
Keep the company owner's account email current. Service and agreement notices may be sent to that address or displayed in the account. Material changes to these Terms will be communicated at least 30 days before taking effect; where new acceptance is required, we will request it. Changes are prospective and do not alter a claim that arose before the change. Emergency protective service changes do not authorize retroactive price changes.
A separately accepted company order controls its price, included usage, subscription dates and expressly identified exceptions. A separately signed agreement controls a conflicting provision it expressly replaces. Otherwise these Terms govern service use; the Privacy Notice describes personal-information handling and does not reduce mandatory privacy rights. Marketing statements and draft or disabled plan catalogs do not amend an accepted order.
If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a provision is not a continuing waiver. Neither party may transfer this agreement in a way that reduces the company's agreed privacy or export protections; a lawful business successor must assume the applicable obligations. Provisions concerning accrued payment obligations, data rights, confidentiality, liability and disputes survive termination as needed to give them effect.
